Transaction / Product Lawyer Job Descriptions : -
Our client, a leading insurance company in Hong Kong, is looking for seasoned and experienced candidates to join their team urgently.
Transaction Lawyer
- Provides legal advice and support in the following areas :
(i) Private equity and direct investment transactions in the region, from reviewing deal structures and Term Sheets, NDAs, contracts and other investment documentation to managing outside counsels that are providing the primary support for these transactions
(ii) M&A transactions in the region
(iii)Fixed income and listed equities activities in the region
(iv) HR, operations and compliance issues in the region
(v)Inter-company transactions and projects (such as restructurings, asset transfers)
(vi)Litigation and dispute management in the region
(vii) Audits and regulatory investigations in the region
-US, UK or HK qualified lawyer or solicitor
- Minimum 5 years of relevant legal experience at a major international law firm or a multinational corporation
- Fluency in English is a must and second language is preferred
Product Lawyer
-Drafts policy wordings / contract language for new products in Hong Kong and throughout the company’s operations in the SE Asia
- Reviews existing policy wordings for revision and/or enhancement, driving throughout the region an emphasis to incorporate “plain language” into the company’s products
- Provides guidance to local in-house counsel in the various countries on proper policy drafting and company standards
- Works closely with Actuarial, Underwriting and Operations and other staff departments on the design and approval of new products
- Reviews corporate marketing materials such as brochures, promotion kits and advertisements to ensure the wordings are appropriate and compliant with the set corporate and regulatory standards -Liaises and corresponds with outside counsel and regulators as necessary
-Possesses a LLB with at least 5 years of relevant experience in insurance industry or with financial institutions, preferably with regional focus
- Extensive experience in legal drafting required. Experience with insurance policy drafting preferred
- High degree of proficiency in written and spoken English. Similar skills in Chinese a strong plus
